Terms of Service

These terms govern your use of the code2automate website and any services provided by code2automate ("we", "us"). By using this site or engaging us, you agree to these terms.

1. Services

code2automate provides software, automation and AI consulting and development services. The specific scope, deliverables, timeline and fees for any engagement are defined in a separate written proposal or statement of work agreed between us and the client.

2. Engagements & payment

Each engagement is governed by its own proposal or statement of work, which takes precedence over these general terms where they conflict.

Fees, invoicing schedules and payment terms are set out in that document. Unless stated otherwise, invoices are payable within 14 days of issue.

3. Ownership of work

Upon full payment, the client owns the custom source code and deliverables we produce specifically for them. We retain rights to our pre-existing tools, libraries and general know-how, which we may reuse for other clients.

We do not lock clients into proprietary no-code platforms; deliverables are intended to be maintainable by the client or another provider.

4. Confidentiality

Each party agrees to keep the other party’s non-public information confidential and to use it only for the purpose of the engagement.

5. Warranties & liability

Services are provided with reasonable skill and care. To the maximum extent permitted by law, our total liability arising from an engagement is limited to the fees paid for that engagement.

We are not liable for indirect, incidental or consequential losses, including lost profits or data, except where such limitation is not permitted by law.

6. Termination

Either party may terminate an engagement as set out in the relevant statement of work. Fees for work performed up to termination remain payable.

7. Governing law

These terms are governed by the laws of Japan, and the courts of Tokyo have exclusive jurisdiction over any dispute, unless an engagement document states otherwise.
